Terms of Service

These Terms of Service ("Terms") govern your use of the services provided by AR Dynamics Inc, a Hawaii corporation ("AR Dynamics," "we," "us," or "our"), including the website at ardynamicsinc.com, the AR Dynamics OS platform, custom build services, and any other product or service we offer (collectively, the "Services"). By creating an account, purchasing a plan, or using the Services, you agree to these Terms.

1. The Services

AR Dynamics provides software and AI-powered tools that help businesses answer calls, capture and follow up with leads, schedule appointments, and automate related workflows. We also build custom software on request. The Services are intended for business use; you must be at least 18 years old and authorized to bind the business you represent.

2. Accounts

You are responsible for the security of your account credentials and for all activity that occurs under your account. Notify us immediately at hello@ardynamicsinc.com if you suspect unauthorized access.

3. Plans, billing, and payment

• Monthly plans: AR Dynamics OS plans (Starter, Growth, Scale) are billed monthly in advance. Plans renew automatically until cancelled.
• Custom builds: One-time project fees are quoted before work begins and invoiced according to the schedule we agree to (typically a deposit at start and balance on delivery).
• Usage-based fees: Some Services include usage limits (e.g., conversation counts, call minutes). Overages may incur additional charges, which we will disclose before they apply.
• Taxes: Stated prices do not include applicable taxes; you are responsible for any taxes other than those on our net income.
• Late payment: If a payment is more than 10 days overdue, we may suspend the Services after written notice.

4. Refund policy

All sales are final and all payments are non-refundable, except where a refund is required by applicable law. This applies to every product type:

• Monthly plans: you can cancel at any time (see Section 5), but fees already paid are non-refundable and partial billing periods are not pro-rated. There is no money-back guarantee.
• Custom builds: all sales are final once work begins. Before delivery we offer reasonable revisions to bring the work in line with the agreed scope, but project fees and deposits are non-refundable.
• Usage-based and third-party charges (e.g., telephony minutes, payment processing fees) are non-refundable.

Because all sales are final, we recommend starting with a smaller project if you want to test fit before committing to a larger one.

5. Cancellation

You can cancel a monthly plan at any time from your account dashboard or by emailing us. Cancellation takes effect at the end of your current billing period; we do not pro-rate partial months unless required by law. No contracts or cancellation fees apply to monthly plans.

6. Your content and customer data

You retain ownership of the content you provide (business info, knowledge bases, branding) and the customer data the Services process on your behalf (collectively, "Customer Data"). You grant us a limited license to host, process, and transmit Customer Data solely as needed to provide the Services. You are responsible for: (a) having the legal right to share that data with us, (b) complying with all applicable laws when collecting it from your customers, and (c) disclosing to your customers that AI may be involved in the interaction, where required by law.

7. Acceptable use

You agree not to:

• Use the Services for any unlawful, deceptive, or harmful purpose
• Use the Services to make calls or send messages in violation of the TCPA, CAN-SPAM, or other communications laws
• Reverse engineer, decompile, or attempt to extract our source code
• Use the Services to impersonate any person or entity
• Resell or sublicense the Services without our written permission
• Upload viruses, malware, or otherwise interfere with the Services
• Use the Services to generate content that infringes intellectual property, defames, or harasses others

We may suspend or terminate accounts that violate these rules, with or without notice depending on severity.

8. AI output disclaimer

Our AI features are powered by large language models, which can produce inaccurate or unexpected output. While we work to keep AI responses grounded in the information you provide, we do not guarantee the accuracy, completeness, or appropriateness of AI-generated responses for any particular purpose. You are responsible for reviewing AI output before relying on it for material decisions or sharing it with your customers.

9. Intellectual property

The Services, including our software, designs, trademarks, and documentation, are owned by AR Dynamics or our licensors and are protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable license to use the Services during your subscription. For custom builds, ownership of deliverables transfers to you upon full payment, except for any AR Dynamics pre-existing tools, libraries, or templates incorporated into the work, which remain ours and are licensed to you for your continued use.

10. Third-party services

The Services may integrate with third-party services (e.g., Stripe for payments, Anthropic for AI, Twilio for telephony, Supabase for storage). Your use of those services is subject to their own terms, and we are not responsible for their availability or performance.

11. Disclaimers

The Services are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation. We do not warrant that the Services will be error-free, secure, or meet your business requirements.

12. Limitation of liability

To the maximum extent permitted by law, AR Dynamics will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising out of or related to the Services. Our total liability for any claim arising from these Terms or the Services will not exceed the greater of (a) the amounts you paid us in the 12 months preceding the claim, or (b) one hundred U.S. dollars ($100).

13. Indemnification

You will indemnify and hold AR Dynamics harmless from any third-party claims arising out of (a) your Customer Data, (b) your use of the Services in violation of these Terms or law, or (c) your business practices that led to the claim.

14. Termination

Either party may terminate these Terms by cancelling your account. We may terminate or suspend the Services immediately if you materially breach these Terms, fail to pay, or use the Services in a way that creates legal or operational risk for us. Sections that by their nature should survive termination (payment, IP, disclaimers, limitation of liability, indemnification, dispute resolution) will survive.

15. Changes to the Services or Terms

We may change the Services or these Terms from time to time. For material changes, we will provide at least 14 days' notice by email or a notice on the site. Continued use of the Services after the effective date means you accept the updated Terms.

16. Governing law and disputes

These Terms are governed by the laws of the State of Hawaii, without regard to its conflict-of-laws principles. The exclusive venue for any dispute that is not subject to arbitration is the state or federal courts located in Honolulu, Hawaii, and you consent to personal jurisdiction there.

Informal resolution first: before filing a claim, you agree to contact us at hello@ardynamicsinc.com and try to resolve the dispute informally for at least 30 days.

17. Miscellaneous

• Entire agreement: these Terms (and any order form or signed agreement) are the entire agreement between us regarding the Services.
• Severability: if any provision is found unenforceable, the rest remain in effect.
• No waiver: a failure to enforce a provision is not a waiver.
• Assignment: you may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Notices: we may give you notices by email to the address on your account or by posting them on the Services.
